MTN Ghana Sets March 24 AGM to Approve Record Dividend

Scancom PLC, the operator of MTN Ghana and listed on the Ghana Stock Exchange (GSE) under the ticker MTNGH, has formally notified shareholders that its 8th Annual General Meeting (AGM) will be held on Tuesday, March 24, 2026, at 11:00 am Greenwich Mean Time (GMT), both in person at the University of Professional Studies Accra (UPSA) Auditorium and virtually via live stream at mtnghagm.com.

The notice, issued to the GSE on Wednesday, March 4, 2026, under Press Release No. 065/2026, sets out an agenda that includes the approval of a final dividend of GHS0.40 per share for the financial year ended December 31, 2025, representing a 67 percent increase on the GHS0.24 per share paid the previous year. The total dividend payout proposed by the board amounts to GHS5.29 billion. The board resolved and recommended the dividend at its meeting on February 26, 2026. The ex-dividend date falls on March 24, with payment scheduled for April 10, 2026, to shareholders on the register as at March 26, 2026.

Beyond the dividend vote, shareholders will be asked to receive and consider the company’s audited financial statements and the reports of the directors and auditors for the 2025 financial year, approve directors’ fees of GHS13.7 million for 2026, and authorise the board to fix the remuneration of the auditor, Ernst and Young Ghana, for the year ending December 31, 2026.

Four directors are standing for re-election after retiring by rotation. Dr. Ishmael Yamson is proposed for re-election as Non-Executive Director. Mrs. Antoinette Kwofie is proposed for re-election as Executive Director. Mr. Kofi Dadzie and Mr. Felix Addo are each proposed for re-election as Independent Non-Executive Directors.

The meeting also carries one item of special business: the approval of a revised Non-Executive Directors’ Fee Policy, required under Paragraph 15(1) of the Securities and Exchange Commission (SEC) Corporate Governance Code, which obliges listed companies to put director remuneration policies to a shareholder vote.

Shareholders who cannot attend in person may participate virtually or by telephone by dialling +233 24 430 0025 and entering access code 8000 followed by conference pin 056789. Unique token numbers to access the meeting will be sent to shareholders by email and SMS from Friday, March 13, 2026. Those wishing to appoint a proxy must submit completed proxy forms to [email protected] no later than 48 hours before the meeting. Electronic voting will be available during the meeting via USSD code 8990# on all networks.

The AGM follows a landmark year for the company. MTN Ghana reported profit after tax of GHS7.8 billion for 2025, a 55.9 percent year-on-year increase and the strongest annual result in its history, driven by a 48.8 percent rise in data revenue and a 35.7 percent increase in Mobile Money income.
