Why Patrice Motsepe Stepped Down From ARM’s Executive Chairman Role

South African billionaire Patrice Motsepe has explained why he stepped down as executive chairman of African Rainbow Minerals (ARM), revealing that the decision was driven by amended Johannesburg Stock Exchange (JSE) governance requirements.

Motsepe, who owns Mamelodi Sundowns and serves as president of the Confederation of African Football (CAF), retired from his executive chairman position and as an ARM employee on February 15, 2026. However, he has not left the mining company’s board.

According to ARM’s 2026 annual report, released on October 28, Motsepe remains a director and serves as the company’s non-executive chairman, a position he assumed on February 16, 2026.

Explaining the change, Motsepe said it was necessary to ensure compliance with the revised JSE Listings Requirements, which took effect on February 16.

“To ensure compliance with the amended JSE Listings Requirements, I retired as executive chairman and employee of ARM on 15 February 2026,” he said in the report.

He added that he would continue serving the company as a non-executive chairman from the following day.

The amended governance requirements address the position of a company chairperson, requiring the role to be held by an independent non-executive director or for the company to appoint a lead independent director in line with the King Code. The changes prompted Motsepe’s transition away from an executive position while allowing him to retain his board leadership role.

The distinction is important because an executive chairman is involved in the company’s management, whereas a non-executive chairman focuses on board leadership and oversight rather than day-to-day executive responsibilities.

Motsepe’s business interests extend beyond mining. He is the owner of Mamelodi Sundowns, one of South Africa’s prominent football clubs, and became CAF president in March 2021. His leadership in football has made him a recognised figure across domestic and continental competitions.

Despite his retirement from ARM’s executive role, the annual report indicates that Motsepe remains connected to the company through his non-executive chairmanship.

His decision, therefore, represents a change in responsibilities rather than a complete departure from African Rainbow Minerals. According to his explanation, the move was intended to align the company’s leadership structure with the revised JSE governance requirements.
