Fidelity Bank shareholders await MD’s successor, delayed H1 results

SHAREHOLDERS of Fidelity Bank Plc are awaiting the appointment of a managing director-designate and the publication of the bank’s delayed first-half 2026 financial results, two outstanding developments expected to provide greater clarity on its leadership transition and recent financial performance.

The bank’s Chairman, Mrs Amaka Onwughalu, disclosed at its 38th Annual General Meeting (AGM), held virtually on October 9, that the succession process for Managing Director, Dr Nneka Onyeali-Ikpe, was ongoing and subject to approval by the Central Bank of Nigeria (CBN).

However, the bank did not provide a timeline for announcing the successor, while its audited financial statements for the six months ended June 30, 2026, remain unpublished pending regulatory approval.

The two developments are expected to be closely watched by investors seeking clarity on the bank’s leadership direction, earnings growth, asset quality and capital position.

At the AGM, shareholders approved the election of Dr Jonathan Ososuakpor, as a non-executive director and the re-election of Onwughalu to the board in the same capacity. They also noted the retirement by rotation of Chief Nelson Nweke, a non-executive director.

Shareholders further approved the bank’s audited financial statements for the financial year ended December 31, 2025, alongside the reports of the directors, external auditors, audit committee and independent board appraisal consultants.

The meeting also approved resolutions authorising directors to determine the external auditors’ remuneration for the 2026 financial year, disclosing managers’ remuneration and electing members of the statutory audit committee.

The bank’s audited 2025 accounts showed group profit before income and windfall taxes of N347.66 billion and profit after tax of N242.44 billion. Its eligible capital stood at N532.6 billion, above the regulatory minimum of N500 billion for banks in the relevant category.

Shareholders commended the bank’s financial performance but raised concerns over the delay in publishing its first-half 2026 accounts, which would provide a more recent assessment of its operating performance.

The Nigerian Exchange had initially extended the filing deadline for the H1 2026 financial statements to September 30. In a notice dated October 5, the bank disclosed that it had obtained a further extension, with publication now dependent on regulatory approval.

The continued delay has limited investors’ ability to assess the bank’s earnings trajectory, asset quality and capital strength during the first half of the year.

The outstanding results are particularly important as investors evaluate banks’ financial performance following the industry’s recapitalisation exercise and assess their capacity to sustain profitability while managing credit risks.

Until the accounts are released, shareholders will have limited information with which to determine whether the bank has sustained its previous earnings momentum and how its balance sheet has evolved in the current financial year.

The bank has also maintained a closed trading window for insiders until 24 hours after the publication of both its audited H1 2026 and unaudited third-quarter 2026 financial statements.

The restriction underscores the importance of the pending disclosures to market participants, although no completion date has been announced for either the results or the appointment of the managing director-designate.

The leadership transition comes as the bank prepares for a new phase under its next managing director, with investors expected to monitor the succession process and its implications for strategy, earnings growth and shareholder returns.

For now, the appointment of a successor to Onyeali-Ikpe and the release of the delayed first-half accounts remain key milestones for shareholders seeking greater visibility into Fidelity Bank’s leadership and financial performance.
