Tesla (NASDAQ:TSLA | TSLA Price Prediction) filed its definitive proxy at 6:15 a.m. ET on Monday, October 19, 2026, reports Elon Musk’s 2025 compensation at $158,359,009,867, all of it in stock awards. Salary, bonus, option awards, and other pay are all zero, because Musk has never accepted a salary and Tesla has no cash bonus program for named executives.

That total is an accounting value measured at grant date under the standard stock-compensation rule, though Musk has received no cash and no vested stock from it.

Tesla shares rose 3.76% that day to close at $368.06, leaving it with a market cap of $1.45 trillion. The stock is still down 18.16% for the year, and third-quarter results are expected after the close on Wednesday, October 21.

For owners, the headline number mostly leaves what they own unchanged, although the vote and the earnings report both deserve attention.

The 2025 CEO Performance Award accounts for $132,298,849,867, valued at the maximum assuming every condition is met. It covers about 423.7 million shares of performance-based restricted stock.

The rest is a 2025 CEO Interim Award valued at $26,060,160,000, which was fully forfeited in April 2026. The performance award had not been earned or vested as of the proxy.

The award is split into 12 tranches. Both milestones must be met. Each pays out only when a market-cap milestone and an operational milestone are both met, and earned shares must be held for five years, subject to limited exceptions.

The operational targets reward businesses the proxy highlights. These include 46.7 gigawatt-hours of 2025 storage installations, up 48.7%, plus Cybercab production at Gigafactory Texas, Robotaxi expansion, the Tesla Semi and Optimus lines.

The share count equals roughly 10.7% of Tesla’s 3,949,547,000 shares outstanding. Shareholders give up that stake only if Tesla becomes a far larger company, which many owners are likely to accept.

The annual meeting is Thursday, December 3, 2026, at 3:00 p.m. Central Time. Shareholders vote on three items. These are re-electing Musk, board chair Robyn Denholm, and JB Straubel; a say-on-pay vote; and approving PwC, with the board recommending approval of all three items.

The pay vote is advisory and cannot undo the award, and the chair managing it is herself a candidate. Last year’s say-on-pay drew approximately 78.2% support, while a proposal to drop supermajority voting failed at approximately 39.4% of outstanding shares.

In the second quarter, operating expenses rose 47% to $4.35 billion, partly from stock compensation tied to this award. Operating margin fell to 1.4%, and non-GAAP EPS of $0.33 missed the $0.5367 estimate. Key-person risk also remains, because Musk runs SpaceX too and recently promised to give away SpaceX shares.

The award matters most to owners with a horizon matching Musk’s five-year holding rule, because the accounting figure costs shareholders nothing unless Tesla’s value grows.

Valuation is the larger risk at a P/E of 383x. ARK’s $4,400 long-term target shows how far bullish assumptions stretch.

The test comes on October 21. If operating margin fails to improve on the second quarter’s 1.4%, the bullish case weakens, and the long-term thesis becomes harder to defend.
