Access Holdings reduces stake in Ghana subsidiary after share sale

Access Holdings Plc has reduced its stake in its Ghanaian subsidiary after selling 7.44 percent of its shareholding, according to a regulatory filing on the Ghana Stock Exchange (GSE).

Specifically, its parent company, Access Bank Plc, sold 12,085,318 ordinary shares on July 15, 2026, representing 7.44 percent of Access Bank (Ghana) Plc’s issued share capital. The transaction was executed through the Ghana Stock Exchange after receiving all the necessary regulatory approvals, including a no-objection from the Bank of Ghana.

Following the transaction, Access Holdings’ stake in the subsidiary fell from 93.40 percent to 85.96 percent, according to the disclosure signed by Helen De Cardi Nelson, company secretary of Access Bank (Ghana) Plc.

The filing stated that the share sale reflects sustained investor interest in Access Bank (Ghana) Plc and growing confidence in the bank’s long-term growth prospects. Further, the offering attracted strong demand from a broad range of investors, including pension funds, institutional investors, and high-net-worth individuals.

Access Bank (Ghana) Plc did not issue any new shares as part of the transaction and, based on the available disclosures, did not receive any proceeds from the sale. Instead, the transaction involved the sale of existing shares held by the parent company.

The participation of long-term institutional investors is expected to broaden the bank’s shareholder base and improve the liquidity of its shares. Third-party reports also confirm that Access Holdings’ ownership declined from 93.40 percent before the transaction to approximately 85.96 percent afterwards.

The disposal aligns with Access Holdings Plc’s broader capital management strategy. In its FY2025 financial results, the Group disclosed that its dividend payments had been constrained by statutory limits on investments in foreign banking subsidiaries, with remediation measures already underway within an agreed supervisory timeline.
